Terms of Service

Welcome to Exchange. These Terms of Service ("Terms") govern your use of the Exchange mobile application and website (the "Service"), provided by Exchange Social App, LLC, a North Carolina limited liability company ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility: 18+ only

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Service. By using the Service, you represent and warrant that you meet this requirement. We may require age or identity verification, and we may suspend or terminate accounts that we believe belong to minors or that provide false age information.

2. Your account

You are responsible for the accuracy of your account information and for keeping your login credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3. Acceptable use

You agree not to use the Service to:

• Upload, share, or solicit any content involving anyone under 18, or any child sexual abuse material (CSAM). This is strictly prohibited and will be reported to authorities.
• Harass, threaten, abuse, stalk, or harm other users.
• Impersonate any person, or misrepresent your age, identity, or affiliation.
• Engage in commercial sex work, trafficking, solicitation for money, or any illegal activity.
• Post content that is unlawful, non-consensual, or that you do not have the right to share (including sharing others' private images without consent).
• Spam, scam, phish, or distribute malware.
• Post hate speech or attack anyone based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or health status.
• Threaten or promote violence, or sell weapons.
• Buy, sell, or promote illegal drugs.
• Scrape, reverse-engineer, or attempt to gain unauthorized access to the Service.

Where content is allowed. In public areas of the Service (profile photos, the browse grid, Right Now posts and event listings), nudity and sexually explicit images are not allowed, including exposed genitals and sexual acts. In private areas (one-to-one chats and private albums you choose to share), nudity is allowed only between consenting adults. Only share images of yourself, or of others with their explicit consent. Violent or illegal content is never allowed, in public or private. See our Safety & Age Standards.

We may remove content and suspend or terminate accounts that violate these Terms, at our discretion.

4. User content

You retain ownership of the content you create and share. By posting content, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, display, and distribute that content solely to operate and provide the Service. You are solely responsible for the content you share and represent that you have the rights to share it.

5. Content moderation and safety

We use automated and human review to enforce these Terms, including tools designed to detect CSAM. We reserve the right to review, remove, or restrict content and accounts. Apparent CSAM will be removed, preserved as required by law, and reported to the National Center for Missing & Exploited Children (NCMEC) and/or other authorities.

6. Subscriptions and purchases

The Service offers optional paid subscriptions and in-app purchases. These are billed through Apple's App Store or Google Play and are subject to their terms. Subscriptions renew automatically unless canceled through your app store account before the renewal date. Except where required by law, payments are non-refundable. Prices and features may change with notice.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not conduct criminal background checks on users and do not guarantee the identity, conduct, or intentions of any user. You are solely responsible for your interactions with other users. Take reasonable safety precautions when communicating with or meeting anyone.

8. Assumption of risk

You use the Service and interact with other users at your own risk. Exchange is not responsible for the conduct of any user, online or offline. We strongly encourage you to meet in public, tell someone your plans, and use good judgment.

9. Limitation of liability

To the fullest extent permitted by law, Exchange and its owners, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss arising from your use of the Service or your interactions with other users. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless Exchange from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

11. Termination

You may stop using the Service and delete your account at any time in the app (You, then Delete account). Deleting your account does not cancel an App Store or Google Play subscription; cancel that in your app store account settings. We may suspend or terminate your access at any time for any reason, including violation of these Terms.

12. Dispute resolution and arbitration

Please read this section carefully. It affects your legal rights, including your right to bring a lawsuit in court.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at legal@exchangesocialapp.com and try in good faith to resolve the dispute informally for at least 30 days.

Binding arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in North Carolina, or remotely where permitted, and judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and Exchange agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court for infringement or misuse of intellectual property or unauthorized access to the Service.

30-day opt-out. You may opt out of this arbitration agreement by emailing legal@exchangesocialapp.com within 30 days of first accepting these Terms, stating your name and that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms.

13. Governing law

These Terms and any dispute arising from them are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Subject to the arbitration provisions above, you agree that any permitted court action will be brought exclusively in the state or federal courts located in North Carolina, and you consent to their jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version and revise the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.
